These Terms of Use ("Terms") govern your access to and use of the websites, applications, and online services operated by Strixsol ("Strixsol", "Company", "we", "us", or "our"), including any content, functionality, and services offered on or through them (collectively, the "Site"). These Terms are intended for users in the United States and are governed by U.S. law. They are not a substitute for legal advice.
1. Agreement to terms
By accessing or using the Site, you agree to these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site. If you use the Site on behalf of an entity, you represent that you have authority to bind that entity.
2. Changes
We may modify these Terms at any time. We will post the updated Terms on the Site and update the "Last updated" date. Your continued use after the effective date constitutes acceptance of the revised Terms where permitted by law. If you do not agree to the changes, you must stop using the Site.
3. Eligibility
The Site is intended for users who are at least 18 years old. If you are under 18, you may not use the Site. We do not knowingly collect personal information from children under 13 through the Site in a manner inconsistent with the Children's Online Privacy Protection Act (COPPA).

The Site provides general information about Strixsol and its offerings. Descriptions of products or services on the Site are illustrative and do not constitute an offer or binding commitment. Specific engagements are governed by separate written agreements where applicable.
5. Accounts and security
If we offer account registration, you agree to provide accurate information and to keep it current. You are responsible for safeguarding credentials and for all activity under your account. Notify us promptly of unauthorized use.
6. Intellectual property
The Site and its entire contents, features, and functionality (including text, graphics, logos, icons, images, software, and compilations) are owned by Strixsol, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. You receive no ownership rights. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal or internal business purposes.
You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works from the Site except as expressly permitted by law or with our prior written consent.
7. User conduct
You agree not to use the Site to: violate any law; infringe intellectual property or privacy rights; transmit malware or harmful code; interfere with the Site's operation; scrape or harvest data except as permitted by robots.txt or written permission; attempt unauthorized access to our systems; harass, abuse, or harm others; or engage in fraudulent, deceptive, or misleading conduct.
8. User submissions
If you submit feedback, ideas, or other materials ("Submissions") through the Site, you grant Strixsol a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, distribute, and display such Submissions for any purpose without obligation to you, except where such a license is prohibited by law. You represent that your Submissions do not violate third-party rights.

The Site may contain links to third-party websites or services. We are not responsible for their content, policies, or practices. Access third-party sites at your own risk.
10. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STRIXSOL OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (USD $100) OR (B) THE AMOUNTS YOU PAID TO STRIXSOL FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS BEFORE THE CLAIM (IF ANY). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
12. Indemnification
You agree to defend, indemnify, and hold harmless Strixsol and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of your use of the Site, your Submissions, or your violation of these Terms or applicable law.
13. Digital Millennium Copyright Act (DMCA)
If you believe content on the Site infringes your copyright, send a notice complying with 17 U.S.C. ยง 512 to our designated agent at info@strixsol.com with: (i) identification of the copyrighted work; (ii) identification of the infringing material and its location; (iii) your contact information; (iv) a statement of good faith belief; and (v) a statement under penalty of perjury that your notice is accurate and you are authorized to act. We may remove or disable allegedly infringing material.
14. Governing law and venue
These Terms and any dispute or claim arising out of or related to the Site shall be governed by the laws of the State of Colorado, without regard to conflict-of-law principles, and the Federal Arbitration Act where applicable. Subject to Section 15, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Denver County, Colorado, for any dispute not subject to arbitration.
15. Dispute resolution
You agree to first contact us at info@strixsol.com to seek an informal resolution. If the dispute cannot be resolved within sixty (60) days, either party may pursue relief in accordance with Section 14, unless applicable law requires otherwise. Nothing in these Terms limits either party's right to seek injunctive or equitable relief.
16. Export and sanctions
You may not use or export the Site or related technology except as authorized by United States law and the laws of your jurisdiction. You represent that you are not located in a country subject to U.S. embargo or designated as a terrorist supporting country and are not on any U.S. government list of prohibited parties.
17. Electronic communications
You consent to receive communications from us electronically. You agree that electronic notices satisfy any legal requirement that communications be in writing, to the extent permitted by the Electronic Signatures in Global and National Commerce Act (E-SIGN) and similar state laws.
18. General
If any provision of these Terms is held invalid or unenforceable, the remainder remains in effect. Our failure to enforce any right or provision does not waive that right. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets. These Terms, together with the Privacy Policy, constitute the entire agreement regarding the Site. Section titles are for convenience only.
